End User License Agreement

By accessing or using Herbert, you agree to the following terms.

1. Overview

Herbert provides tools for business management, financial organization, and operational insight.

2. Eligibility

You must be 21 years of age or older to use Herbert.

3. Use of the Service

You agree to:

  • Use Herbert only for lawful purposes
  • Provide accurate information
  • Maintain account security

You are responsible for all activity under your account.

4. License

We grant you a limited, non-exclusive, non-transferable license to use Herbert.

You may not:

  • Reverse engineer or replicate the platform
  • Resell or sublicense Herbert
  • Use Herbert to build competing systems

5. Data Ownership

You retain full ownership of your data.

You grant Herbert a limited license to process your data solely to provide the service.

6. AI-Assisted Features

Herbert provides AI-assisted insights and recommendations.

  • Outputs are informational only
  • May contain inaccuracies
  • Do not constitute financial, legal, or tax advice

Users are responsible for all decisions made using Herbert.

7. Human-in-the-Loop & Automation

Herbert is designed to operate with user oversight.

  • Critical actions require user authorization
  • Herbert does not autonomously execute financial transactions
  • Users retain final decision-making authority

8. No Fiduciary Relationship

Herbert is not a financial advisor, fiduciary, accountant, or legal advisor.

9. Third-Party Services

Herbert integrates with third-party platforms such as QuickBooks.

We:

  • Do not control third-party systems
  • Do not guarantee availability or accuracy of external data

10. Acceptable Use

You may not:

  • Use Herbert for unlawful activity
  • Attempt to breach or disrupt the system
  • Use automation or scripts that interfere with platform integrity
  • Abuse APIs or integrations

11. Beta Features

Some features may be labeled as beta.

These are provided “as is” and may change, break, or be discontinued.

12. Audit & Record Disclaimer

Herbert may provide logs or records for operational insight.

These are not guaranteed to meet legal, accounting, or audit standards.

13. Service Availability

We aim for reliability but do not guarantee uninterrupted service.

14. Limitation of Liability

To the fullest extent permitted by law:

Herbert is not liable for:

  • Financial losses
  • Business interruptions
  • Errors from third-party integrations
  • Decisions made using the platform

15. Indemnification

You agree to indemnify Herbert against claims arising from misuse or violations.

16. Termination

We may suspend or terminate access if necessary to protect the platform or users.

17. Privacy

Use of Herbert is governed by our Privacy Policy.

18. Force Majeure

We are not liable for events beyond reasonable control.

19. Governing Law

These terms are governed by the laws of Massachusetts.

20. Changes

We may update these Terms. Continued use constitutes acceptance.
